These Terms of Service ("Terms") govern your access to and use of iQRC Client Demo (the "App"). Please read these Terms carefully before downloading or using the App. By installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.
1. Acceptance of Terms
By downloading, installing, or using iQRC Client Demo, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations. If you are using the App on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. License to Use
Subject to your compliance with these Terms, iQRC Client Demo grants you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on a compatible mobile device that you own or control, solely for your personal, non-commercial evaluation purposes.
This licence does not include the right to:
- sublicense, sell, resell, transfer, assign, or commercially exploit the App;
- modify, translate, adapt, or create derivative works based on the App;
- reverse engineer, decompile, disassemble, or attempt to extract the source code of the App, except as permitted by applicable law;
- remove or alter any proprietary notices, labels, or marks on the App.
This licence is granted solely for evaluation and demonstration purposes. Any rights not expressly granted here are reserved by the developer.
3. Demo and Prototype Disclaimer
iQRC Client Demo is a prototype and demonstration build. All clients, buildings, floors, rooms, devices, sensor readings, telemetry data, energy figures, alarm events, and AI-generated suggestions presented within the App are entirely simulated and deterministic. There is no real connection to any physical building, HVAC system, IoT device, or facility management infrastructure.
The App is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. iQRC Client Demo does not warrant that:
- the App will meet your requirements or expectations;
- the App will be uninterrupted, timely, secure, or error-free;
- any data, results, or outputs displayed in the App are accurate, complete, or suitable for any operational purpose;
- any defects or errors in the App will be corrected.
The App must not be used to make real operational decisions regarding building management, heating, cooling, ventilation, energy consumption, or any other facility-critical function. All data shown is synthetic and is provided for demonstration purposes only.
4. Intellectual Property
The App and all content, features, functionality, design elements, graphics, software, and underlying technology are the exclusive property of and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret law.
Nothing in these Terms grants you any right, title, or interest in or to the App, its content, or any associated intellectual property beyond the limited licence expressly granted in Section 2. All trade names, trademarks, and service marks displayed in the App are the property of their respective owners.
5. Prohibited Use
You agree not to use the App in any manner that:
- violates any applicable local, national, or international law or regulation;
- is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
- involves transmitting unsolicited commercial communications or spam;
- attempts to gain unauthorised access to any portion of the App or any systems or networks connected to it;
- introduces malware, viruses, worms, Trojan horses, or any other malicious or harmful code;
- scrapes, crawls, or systematically extracts data from the App without prior written consent;
- impersonates any person or entity or misrepresents your affiliation with any person or entity;
- uses the App for any commercial purpose not expressly authorised by these Terms.
6. Limitation of Liability
To the fullest extent permitted by applicable law, iQRC Client Demo and its officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, or damage to systems — arising out of or in connection with your use of, or inability to use, the App, even if advised of the possibility of such damages.
In no event shall the aggregate liability of iQRC Client Demo to you for all claims arising out of or relating to these Terms or the App exceed the amount you paid, if any, to download or use the App in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential or incidental damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
7. Indemnification
You agree to indemnify, defend, and hold harmless iQRC Client Demo and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of a third party.
8. Changes to Terms
We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page and, where appropriate, notify you through the App or other reasonable means. Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App and uninstall it from your device.
9. Termination
We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the licence granted to you under Section 2 will immediately cease. Sections 4, 5, 6, 7, and 10 of these Terms shall survive termination.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms or the App shall be subject to the exclusive jurisdiction of the competent courts of the Slovak Republic.
If you are a consumer resident in the European Union, you may also have the right to submit a complaint to your local consumer protection authority or to use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
11. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions.
12. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and iQRC Client Demo with respect to the App and supersede all prior or contemporaneous agreements, representations, or understandings relating to the same subject matter.
